Guesty Referral Program – Terms and Conditions

Introduction.

Guesty (or “The Company” or “We” or “Our”) welcomes you (“Participant(s)” or “you”) to participate in our new Referral Program (hereinafter – the “Program”), and to further enjoy from our special benefit which is granted to all eligible participants (hereinafter – the “Benefit”)

All terms not otherwise defined herein shall have the definitions set forth in Guesty’s Terms of Service.
Definitions.

“Referrer” – Any person or entity who was approved by the Company to participate in the Program.

“Referee“ – A Property Manager Company (or “PMC”) that was approved by the Company to participate in the Program and manages 5 or more listings in qualified countries (at the Company’s sole discretion).

“Qualified Properties” – Properties that are being managed by the Referee and were approved by the Company.

“Program Qualification Period” – Shall mean 3 months after the onboarding graduation date to Guesty.

“Qualified Property” – Shall mean a property which had at least one (1) paid reservation event per each month during the Program Qualification Period.

“Portfolio Properties” – The number of properties being managed by the Referee within the Program Qualification Period.

“Property Commission” – Shall mean a Variable payment by Guesty to the Referee for each Qualified Property.

“Maximum Commission” – Maximum payment that the Referrer is entitled to each referral.

“New Referral” a Property Management Company (“PMC”) that was (a) approved by the company to participate in the Program, (b) that manages 5 or more properties in qualified countries (at the Company’s sole discretion), and (c) is not currently engaged with the Company or that has not been engaged with the Company during the past twelve (12) months. Notwithstanding the foregoing, New Referrals from Guesty Partners must manage 20 or more properties.

“Eligible Referral” a New Referee who completed the Program Qualification Period and who was referred by an Eligible Participant.

“Eligible Participant” A Referrer who was officially approved by Guesty, are eligible to participate in the Program.

“Non Existing Clients” Any person or entity that is not a current customer of the Company.

“Guesty Partner” An entity which has signed a commercial partnership agreement with the Company within the Company’s Marketplace (and is not an existing customer of the Company).
Eligibility and Participation.
1. Referrers will receive by mail a unique referral link to share after submitting this form: https://lp.guesty.com/referrals-2022 /. Only referrals made via the Guesty unique referral link will be rewarded.
2. An Eligible Participant who has referred an Eligible Referral will be entitled to a Referral Benefit (as defined hereunder) for each Qualified Property that was referred.
3. Non Existing Clients can take part in the Program. However, only a Referral with a portfolio of more than 20 properties can be referred by Non Existing Clients.
4. We encourage you to contact referral@guesty.com to confirm the current status of potential referral candidates and to be approved for the Program.
Referral Benefit.
1. An Eligible Participant will qualify for a Referral Benefit for each Eligible Referral they refer to the Program as follows:
  1. For each Eligible Referral with a monthly 5-10 properties portfolio, the Eligible Participant will be entitled to a 50 USD Property Commission. The Maximum Commission will be 500 USD.
  2. For each Eligible Referral with a monthly 11-20 properties portfolio, the Eligible Participant will be entitled to a 50 USD Property Commission. The Maximum Commission will be 750 USD.
  3. For each Eligible Referral with a monthly 21-50 properties portfolio, the Eligible Participant will be entitled to a 50 USD Property Commission. The Maximum Commission will be 2,000 USD.
  4. For each Eligible Referral with a monthly 51-100 properties portfolio, the Eligible Participant will be entitled to a 50 USD Property Commission. The Maximum Commission will be 4,000 USD.
  5. For each Eligible Referral with more than (and including) 101 monthly Properties Portfolio, the Eligible Participant will be entitled to a 50 USD Property Commission. The Maximum Commission will be 5,000 USD.
2. An Eligible Referral can apply for a 20% discount on Guesty’s onboarding fee.
Benefit Payment.
1. The Referral Benefit payment will be made to Eligible Participants by the end of every quarter following the end of the Qualification Period.
2. At the Company’s sole discretion, the Referral Benefit payment will be made either by wire transfer or by Guesty software fee credit. If the chosen payment method is wire transfer, then the Referrer will provide the company with an invoice within 7 days from the approval of the Referral benefit by the Company.
3. Benefits will be calculated at the end of the Qualification Period based Only on paying, active and Qualified Properties.
4. The benefit will not include duplicate listings for the same property.
5. In any case, the Maximum Commission will not exceed 5,000 USD.
6. The Referral benefit is inclusive of all taxes. Any applicable taxes on all Referral Benefits will be the responsibility of the Referrer.
Participant Representation and Warranties.

As a condition of your participation in the Program, you hereby represent, warrant and undertake that (i) you possess all legal authority to participate in the Program, enter into these Program Terms and form a binding legal agreement under any applicable law; (ii) the execution and/or any of acceptance of these Program Terms does not, and will not, violate any other agreement to which you are bound or any law, rule, regulation, order or judgment to which you are subject.

ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY CIRCUMVENT, DISRUPT OR DAMAGE ORDINARY AND NORMAL OPERATION OF THIS PROGRAM, OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM WILL CONSIDER AS A VIOLATION. SHOULD SUCH AN ATTEMPT BE MADE, GUESTY RESERVES THE RIGHT TO TERMINATE AND DISQUALIFY YOU AT ANY TIME FROM PARTICIPATING IN THE PROGRAM AND TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.

Guesty will not be liable to You in the event of any modification, suspension, or discontinuance of the Program. We reserve the right to amend, modify, or waive these Terms and Conditions at any time in its sole discretion.

Neither Guesty, its agencies, affiliates, sponsors, or representatives are not responsible for any claims, liability, loss, or damage arising out of or in connection with the Program.
Data Privacy.

Personal data of the Participants collected by the Company shall be processed for the purposes and in accordance with the Regulations and according to the Company’s DPA. We may collect personal information that includes, but is not limited to, name, telephone number, email address, professional title, business and mailing address, information regarding your company and business, username and password, company contacts.

We may disclose your personal information as is necessary to: (a) comply with a subpoena or court order; (b) cooperate with law enforcement or other government agencies; (c) establish or exercise our legal rights, or (c) as otherwise required by law or permitted by law.

The disclosure of personal data shall be voluntary and the Participants have a right to ask for access and modify or delete their personal data by emailing us at claims@guesty.com.

We make reasonable efforts to ensure your personal information is safe, and to protect against unauthorized access and disclosure. We will not keep your personal information longer than necessary for the purpose for which it was collected. We may, however, retain some personal information in order to comply with applicable laws and regulations.
Miscellaneous.
1. By participating in the Program, You will submit personal information about Yourself and Your Referrals, such as names and e-mail addresses All information collected, stored and/or shared through the Program shall be subject to Guesty Privacy & Cookie Policy. By participating in the Program, You agree to the collection and use of Your personal information by Guesty and acknowledge that You have read and accepted Guesty Privacy & Cookie Policy.
2. You may not participate in the Program where doing so would be prohibited by any applicable laws or regulations. You must be eighteen (18) years or older in order to participate in the Program.
3. The Program Benefits are not compensation between Guesty and the Participants, are not part of any agreement between Guesty and the Participants, and are not based on employee-employer relationship.
4. Any heading, caption, or section title contained herein is inserted only as a matter of convenience, and in no way, defines or explains any section or provision hereof.
5. Any claim relating to the Program will be governed by and interpreted in accordance with the laws of the state of New York without reference to its conflict of laws principles. Any dispute arising out of, or related to, your participation in the Program will be brought in, and you hereby consent to the exclusive jurisdiction and venue in the competent courts of New York City, New York, US.
Entire T&C.

This T&C constitutes the entire T&C of the parties hereto with respect to the subject matter hereof and supersedes any prior or contemporaneous written or verbal communications or representations regarding such subject matter. This T&C may not be modified except in writing signed by both parties hereto.
